Discuz! 知识产权权属变更及责任主体专项声明 一、主体定义 转让方：腾讯科技（北京）有限公司 受让方：合肥贰道网络科技有限公司 标的产品：Discuz! 全系列社区系统软件，包含历史版本、X5.0 及后续迭代新版本、衍生插件、架构重构代码 二、权利流转事实说明 （一）X3.5 及更早历史版本权属 Discuz! X3.5 及更早历史版本计算机软件著作权原始登记权利人为腾讯科技（北京）有限公司，该部分软件全部著作财产权已通过合法书面不可撤销转让协议完整转让至合肥贰道网络科技有限公司。依据《中华人民共和国著作权法》，著作人身权不可转让、不可放弃，版权公示中保留腾讯名称仅为履行法定署名义务，腾讯不享有任何运营、授权、管控及维护权利。 （二）X5.0 及后续新版本权属 Discuz! X5.0 由合肥贰道网络科技有限公司于 2024 年独立开发完成并办理软件著作权登记，自 2024 年起该版本完整著作权由合肥贰道网络科技有限公司独家享有。X5.0 之后所有版本迭代、架构重构、新增功能模块及自研代码著作权均归合肥贰道网络科技有限公司单独所有。Discuz! 完整知识产权由历史版本受让财产权与 2024 年起 X5.0 全新自研著作权共同构成。 （三）运营承接说明 自知识产权交割及 X5.0 著作权确权完成后，Discuz! 全部业务由合肥贰道网络科技有限公司全权独立承接，涵盖版本迭代更新、安全漏洞修复、商业授权审核、盗版侵权维权、应用中心运营、技术服务支持、合规整改及合同履约等全部事项。腾讯已永久全面退出 Discuz! 所有相关业务，不再参与任何产品管理工作。 三、责任划分与主体隔离条款 3.1 协议履约主体界定 尽管《最终用户许可协议》中将腾讯列为历史版本署名方，但本软件许可协议实际履约义务人、合同责任承担主体、权利授予唯一主体仅为合肥贰道网络科技有限公司。腾讯不收取任何软件授权收益，不提供技术服务、版本补丁及任何产品承诺与保证。 3.2 投诉与司法程序唯一责任主体 任何单位、个人、监管机构及权利方就 Discuz! 使用合规、版权争议、安全漏洞、许可违约、侵权赔偿等事宜发起的投诉、行政问询、立案调查、民事诉讼、仲裁及强制执行申请，唯一受理答复、出庭应诉并承担全部法律后果的主体为合肥贰道网络科技有限公司。因软件部署、二次修改、第三方插件引入产生的损失、行政处罚及赔偿责任，由使用方与合肥贰道网络科技有限公司自行处理，腾讯不承担任何形式连带责任。所有使用方及第三方不得就 Discuz! 相关纠纷向腾讯科技（北京）有限公司提起投诉、保全申请及索赔主张。合肥贰道网络科技有限公司Discuz! Intellectual Property Ownership Transfer & Tencent Full Liability Separation Statement 1. Definition of Parties Assignor: Tencent Technology (Beijing) Co., Ltd. Assignee: Hefei Erdao Network Technology Co., Ltd. Covered Products: All editions of Discuz! community system, including legacy versions, X5.0 and subsequent iterative releases, derivative plugins and reconstructed architecture code. 2. IP Transfer Background 2.1 Legacy Versions (X3.5 and Earlier) The original copyright of Discuz! X3.5 and earlier versions was registered under Tencent Technology (Beijing) Co., Ltd. All economic copyrights of such legacy versions have been permanently and irrevocably assigned to Hefei Erdao Network Technology Co., Ltd. through legally executed written agreements. In accordance with the Copyright Law of the People’s Republic of China, moral rights are non-transferable and non-waivable. The retention of Tencent’s name in copyright display solely fulfills statutory attribution requirements and confers no operational, licensing or maintenance powers on Tencent. 2.2 X5.0 and Subsequent New Versions Discuz! X5.0 was independently developed and copyrighted by Hefei Erdao Network Technology Co., Ltd. in 2024, with full exclusive copyright owned by the Company effective 2024. All post-X5.0 iterative upgrades, architectural reconstruction, newly added features and original source code are solely copyrighted by Hefei Erdao Network Technology Co., Ltd. The complete intellectual property portfolio of Discuz! consists of assigned economic rights from legacy releases and original copyrights of X5.0 and newer versions held by Erdao Tech since 2024. 2.3 Full Operational Handover Upon completion of IP assignment and X5.0 copyright registration, all Discuz! related businesses have been fully taken over exclusively by Hefei Erdao Network Technology Co., Ltd., including product iteration, security patching, commercial licensing administration, anti-piracy enforcement, application ecosystem operation, technical support, compliance rectification and contractual performance. Tencent has permanently and completely withdrawn from all Discuz! businesses with no further involvement. 3. Liability Allocation and Party Isolation Clauses 3.1 Contract Performing Party Confirmation Notwithstanding Tencent’s listing as historical copyright attributor in the End User License Agreement, the sole performing party, obligation bearer and liable party under the software license is Hefei Erdao Network Technology Co., Ltd. Tencent receives no licensing revenue, provides no technical services, patches or product warranties of any kind. 3.2 Exclusive Respondent for Complaints and Legal Proceedings All third-party complaints, administrative inquiries, regulatory investigations, lawsuits, arbitrations and enforcement actions arising out of Discuz! compliance issues, copyright disputes, security vulnerabilities, license breaches and infringement claims shall be responded to, defended and borne legally solely by Hefei Erdao Network Technology Co., Ltd. Losses, administrative penalties and compensations resulting from software deployment, modification or third-party add-ons shall be settled between end users and Hefei Erdao Network Technology Co., Ltd. Tencent shall bear no joint or several liabilities in any case. End users and third claimants shall not file irrelevant complaints, asset preservation applications or damage claims against Tencent in connection with the software.Hefei Erdao Network Technology Co., Ltd.
